The agreement between you and SecureJusticeAI governing your access to and use of our website and consortium services.

1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement between you and RAS Consulting Services, LLC (doing business as "SecureJusticeAI"), a New York limited liability company ("Company," "we," "us," or "our"), concerning your access to and use of the securejusticeai.com website and the AI strategy, AI governance, cybersecurity, and IT infrastructure services delivered through the SecureJusticeAI consortium (collectively, the "Services").
SecureJusticeAI is a four-partner consortium — RAS Consulting Services, LLC, Cognify Solutions, CHIPS Cyber Defense Solutions, LLC, and TechBridge Unlimited — that plans, governs, and delivers the Services together. RAS Consulting Services, LLC is the contracting party for every engagement described in these Terms, and Services are delivered in coordination with its consortium partners as described in Section 10 below.
By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you must discontinue use of our Services immediately.
2. Services Provided
SecureJusticeAI provides an integrated suite of services built exclusively for nonprofit legal services organizations:
- Clarity Audit: A structured two-week assessment of your organization's AI readiness, cybersecurity posture, and IT infrastructure, producing a prioritized roadmap, a funder-ready ROI narrative, and a 90-day deployment plan
- AI Strategy & Custom Agents: Strategic AI planning together with the design, build, and deployment of custom AI agents and automation for your organization's workflows
- AI Governance & Compliance: Governance frameworks, compliance documentation, and risk-assessment architecture aligned to recognized standards such as the NIST AI Risk Management Framework and ISO/IEC 42001
- Zero Trust Cybersecurity: Zero Trust security architecture, endpoint protection, and prevention-first defense designed to reduce operational risk
- IT Infrastructure & AI Solutions: Infrastructure modernization, systems integration, and the technical foundation that supports the services above
3. Eligibility and Client Relationship
Our Services are intended exclusively for nonprofit legal services organizations — including civil legal aid societies, public defender offices, immigration and housing advocacy nonprofits, and pro bono programs — and their authorized representatives. By using our Services, you represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into this agreement
- You are a Managing Attorney, Executive Director, Development Director, in-house counsel, or other authorized decision-maker for a nonprofit legal services organization
- All information you provide is accurate, current, and complete
4. Service Delivery and Data Access
4.1 Delivery Within Your Environment
When we design, build, or deploy AI strategy, governance, cybersecurity, or IT infrastructure solutions, our work is performed within your existing technology infrastructure wherever feasible. Specifically:
- We access your organization's data exclusively within your network and behind your firewall
- We do not copy, extract, or remove your data from your systems except as necessary to deliver the specific Service you have engaged us for, and only with your authorization
- We implement agents, automation, and security tooling that interact with your systems via MCP servers, APIs, and other secure integration methods
- Where a Service involves cloud-hosted infrastructure (for example, Microsoft 365 or Google Workspace configuration), data processing occurs within your own organization's tenant and controlled environment, not on infrastructure owned by the Company
4.2 Your Data
You retain all ownership rights to your organization's data, your clients' information (subject to attorney-client privilege, where applicable), and the work product generated using our tools. You may request export or deletion of any data we hold on your behalf at any time, subject to Section 13.3.
5. Engagement Fees and Payment Terms
5.1 Clarity Audit
The Clarity Audit is offered at the price published on our Services page at the time you engage us. By booking a Clarity Audit, you agree to pay the applicable fee, which is fully credited toward your full engagement if you proceed with additional Services.
5.2 Full Engagement Services
Fees for AI Strategy, AI Governance, Cybersecurity, and IT Infrastructure Services are set out in your Statement of Work, engagement letter, or invoice. By engaging us for these Services, you agree to:
- Pay the fees set out in your Statement of Work or engagement letter according to the agreed invoicing schedule
- Provide accurate billing and payment contact information
- Notify us promptly of any disputed charges
5.3 Refund Policy
- Clarity Audit fees are non-refundable once the assessment has been delivered
- Fees for services already rendered under a Statement of Work are non-refundable for work completed
- Custom development, governance, and infrastructure work is billed based on work completed and is non-refundable once performed
6. Artificial Intelligence Disclaimer
6.1 AI Technology Limitations
Our Services utilize artificial intelligence and machine learning technologies. You acknowledge and agree that:
- AI systems can produce errors, inaccuracies, or "hallucinations" (generating false or misleading information)
- AI-generated outputs are tools to assist human decision-making, not replacements for professional judgment
- All AI recommendations must be reviewed and approved by a qualified, authorized professional at your organization before use
- We design our governance work to align with frameworks such as the NIST AI Risk Management Framework, ISO/IEC 42001, and ABA Formal Opinion 512, but no governance framework or detection system is 100% foolproof
6.2 Human-in-the-Loop Requirement
All solutions we provide include a Human-in-the-Loop (HITL) component requiring:
- Human review of all AI-generated outputs before implementation or use with clients
- Approval by a licensed attorney or other appropriately qualified professional at your organization for any legal documents, strategies, or client-facing recommendations
- Your organization's responsibility to verify the accuracy of AI-assisted work product
6.3 No Guarantee of Results
While we strive for excellence, we do not guarantee specific outcomes, time savings, funding results, error-free AI performance, prevention of every cybersecurity incident, or that our solutions will meet your organization's specific needs in all circumstances.
7. Your Responsibilities
As a client, you are responsible for:
- Maintaining the confidentiality of your account credentials
- Ensuring your organization's use of AI solutions complies with applicable rules of professional conduct
- Reviewing all AI-generated content before use with clients or in legal proceedings
- Maintaining adequate cybersecurity measures in the portions of your systems outside the scope of our engagement
- Notifying us immediately of any unauthorized access to your account or systems
8. Professional Responsibility
You acknowledge that:
- You and your organization remain solely responsible for compliance with the rules of professional conduct applicable in your jurisdiction
- Our Services do not create an attorney-client relationship between the Company or its consortium partners and your organization's clients
- You are responsible for ensuring AI use by your organization complies with applicable attorney competence and supervision requirements
- You must maintain adequate professional liability insurance for your own practice or organization
- You are responsible for all ethical obligations regarding supervision of AI-assisted work performed by your staff
9. Intellectual Property Rights
9.1 Our Intellectual Property
The Services, including all software, platforms, methodologies, and proprietary systems used to deliver them, are owned by RAS Consulting Services, LLC, its consortium partners, or their respective licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your organization's internal business purposes.
9.2 Custom Development
For custom AI agents, automation, or governance frameworks we develop for you:
- You receive a license to use the custom solution within your organization
- We and our consortium partners retain intellectual property rights to underlying methodologies and frameworks
- You own all data processed through the custom solution
- We may create generalized versions of custom solutions for other clients, without your confidential data
10. Confidentiality and Privilege
10.1 Your Confidential Information
We will maintain the confidentiality of your organization's information and will not disclose it except:
- As necessary to deliver the Services
- To our consortium partners — Cognify Solutions, CHIPS Cyber Defense Solutions, LLC, and TechBridge Unlimited — and other subcontractors bound by confidentiality obligations, where their involvement is part of your engagement
- As required by law
10.2 Attorney-Client Privilege
We are not a law firm and do not provide legal advice. To help protect attorney-client privilege:
- You should not share privileged information with us unless necessary for service delivery
- We are not responsible for any waiver of privilege resulting from your disclosure
- You are responsible for maintaining privilege protections when using AI tools we provide or configure
11. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you for any claims arising from or related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any damages resulting from AI errors, hallucinations, or inaccuracies
- We shall not be liable for any cybersecurity incident that occurs despite implementation of agreed-upon safeguards, except to the extent caused by our gross negligence or willful misconduct
- We shall not be liable for your organization's professional malpractice or violations of professional conduct rules
12. Indemnification
You agree to indemnify, defend, and hold harmless RAS Consulting Services, LLC, its officers, directors, employees, and consortium partners from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of professional conduct rules
- Claims by your clients related to your organization's use of AI tools
13. Termination
13.1 Termination by You
You may terminate Services at any time by providing written notice in accordance with the notice period stated in your Statement of Work or engagement letter.
13.2 Termination by Us
We may terminate or suspend your access immediately if:
- You breach these Terms
- You engage in fraudulent or illegal activity
- We discontinue offering the Services
13.3 Effect of Termination
Upon termination:
- Your access to Services will cease
- You will receive a final invoice for Services rendered
- You may export your data within 30 days
- All confidentiality obligations survive termination
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to securejusticeai.com with an updated "Last Updated" date. Your continued use after changes constitutes acceptance. Material changes affecting your rights will be communicated via email with 30 days' notice.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
Any disputes arising from these Terms or the Services shall be resolved through:
- Good Faith Negotiation: Parties agree to attempt resolution through direct discussion
- Mediation: If negotiation fails, non-binding mediation in New York County, New York
- Arbitration: If mediation fails, binding arbitration in accordance with the American Arbitration Association rules in New York County, New York
You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and RAS Consulting Services, LLC regarding your use of the Services.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations.
Force Majeure: We are not liable for failure to perform due to circumstances beyond our reasonable control.
